End User License Agreement

This End User License Agreement (“Agreement” or “EULA”) is a legally binding contract between you (“User,” “you,” or “your”) and Addavox Inc., a Utah corporation (“Addavox,” “we,” “us,” or “our”). By accessing or using the Addavox platform, services, APIs, or any related tools (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree, you must not use the Service.

1. Description of Service

Addavox provides an AI-powered audio and video localization service that translates spoken content from a source language into one or more target languages while preserving the tonal qualities of the original speaker’s voice. The Service processes voice characteristics ephemerally in volatile memory (RAM) on a sentence-by-sentence basis to modify synthesized speech output. No persistent voice model, voiceprint, or biometric template is ever created, stored to disk, or retained beyond the real-time processing of each individual sentence.

1.1 Ephemeral Processing Architecture

Addavox processes voice data ephemerally by design. Specifically:

  • Voice characteristics are extracted into volatile memory (RAM) only for the duration of processing a single sentence.
  • These characteristics are used solely to adjust an already-synthesized voice output to reflect the original speaker’s tonal qualities at that moment, including any environmental or emotional variations present in the source audio.
  • Once a sentence is synthesized in the target language, the voice characteristics are released from memory before the next sentence is processed.
  • No voice clone file, voice model, voiceprint, or biometric template is written to disk or retained in any persistent storage medium. Such characteristics are not transmitted to third parties for storage or reuse.
  • It is technically impossible within our architecture to reuse, reconstruct, or redistribute any speaker’s voice characteristics after processing is complete.

1.2 Service Tiers

Addavox offers two localization modes:

(a) Voice-Matched Localization. This mode uses the ephemeral processing architecture described in Section 1.1 to produce target-language audio that reflects the original speaker’s tonal qualities. This mode requires explicit consent from all identifiable speakers in the Submitted Content and is subject to the consent requirements in Section 2.B.

(b) Standard Localization. This mode produces target-language audio using Addavox’s library of pre-built synthesized voices. No voice characteristics from the original speakers are processed, extracted, or referenced in any way. The output uses generic male and/or female voices and does not replicate or approximate the original speaker’s voice. Depending on the target language, voice selection may be limited (for example, to one male and one female voice), resulting in output that functions as an interpreted rendition of the source content rather than a speaker-matched localization. This mode does not require speaker consent, as no speaker voice data is processed.

The applicable mode is selected by the User at the time of each localization job. If the User does not confirm the consent requirements for Voice-Matched Localization, the Service will default to Standard Localization.

1.3 Permitted Use

The Service is designed exclusively for the localization and translation of audio and video content. The output is strictly limited to a target-language version of content that was actually spoken by the original speaker. The Service is not designed for, and shall not be used for, the creation of deepfakes, synthetic impersonation, fabricated speech, or any content that would attribute statements to a speaker that they did not actually make in the source recording.

1.4 Third-Party Processing

To deliver the Service, Addavox may transmit your uploaded audio, video, transcripts, and related metadata to third-party speech, translation, and language-model providers solely for the purpose of performing the processing you request (for example, transcription, translation, text-to-speech, and quality evaluation). This is distinct from the ephemeral voice-characteristic processing described in Section 1.1. Third-party providers are contractually prohibited from using your content to train general-purpose models for their own purposes. Details are set forth in our Privacy Policy.

1.5 AI-Assisted Editing

The Service includes an AI-powered review assistant that can suggest or apply edits to translations, timing, and related segment data at your direction. AI-generated suggestions may be inaccurate or incomplete. You are solely responsible for reviewing and approving all final localized content before publication or distribution.

2. User Representations, Warranties, and Obligations

2.A Obligations for All Users (Both Service Tiers)

Regardless of which localization mode you select, you represent, warrant, and covenant that:

2.1 Ownership or License. You own or have a valid license to the audio or video content you submit to the Service (“Submitted Content”), including all underlying intellectual property rights, and have the legal authority to submit it for localization and to create derivative works from it.

2.2 Lawful Use (General). Your use of the Service and all Submitted Content complies with all applicable laws and regulations, including intellectual property laws, and you will not use the output of either service tier to deceive, defraud, defame, harass, or otherwise harm any person.

2.B Additional Obligations for Voice-Matched Localization

If you select Voice-Matched Localization, you additionally represent, warrant, and covenant that:

2.3 Speaker Consent. You have obtained all necessary rights, permissions, licenses, and explicit informed consent from every identifiable individual whose voice appears in the Submitted Content. This includes, without limitation, consent to: (a) process their voice characteristics ephemerally for the purpose of creating a localized version of the Submitted Content; (b) produce a translated audio output that reflects the tonal qualities of their voice; and (c) distribute the resulting localized content in the manner you intend.

2.4 Biometric and Privacy Compliance. Your use of Voice-Matched Localization complies with all applicable privacy laws, biometric data laws (such as the Illinois Biometric Information Privacy Act, the Texas Capture or Use of Biometric Identifier Act, and comparable statutes), right of publicity laws, and any applicable AI or synthetic media regulations.

2.5 No Deepfake or Impersonation Use. You will not use the output of Voice-Matched Localization to fabricate, misrepresent, or falsely attribute statements, expressions, or utterances to any individual.

2.6 Consent Documentation. You will maintain written records of all consents obtained from individuals whose voices appear in Submitted Content processed via Voice-Matched Localization. You will make such records available to Addavox upon reasonable request, including in response to any claim or inquiry from an individual asserting that their voice was processed without authorization.

2.7 Recorded Voice Takes. If you record replacement audio within the Service, you represent that you have the right and any required consent to use that recording for localization, and that Voice-Matched processing of such recordings is subject to the same obligations in this Section 2.B.

2.8 Accurate Information. All information you provide to Addavox in connection with the Service, including account registration information and consent certifications, is truthful, accurate, and complete.

2.C Reviewers and Collaborators

If you invite third parties to review or edit localized content, you represent that you have the authority to grant them access to the Submitted Content and that their access is limited to the purpose of reviewing or improving the localization. You remain responsible for all actions taken through your account and for all individuals you invite to access your projects.

2.D API Access

If you use the programmatic API, you are bound by this Agreement and must: (a) keep API keys confidential and secure; (b) provide accurate consent attestations with each localization request, including speaker consent when using Voice-Matched Localization; (c) ensure that webhook callback URLs you configure are operated securely and in compliance with applicable law; and (d) not use the API to circumvent usage limits, billing, or access controls.

3. Consent Verification and Cooperation

3.1 Per-Job Mode Selection and Confirmation

Each time you submit content for localization, you will be presented with a choice between Voice-Matched Localization and Standard Localization. If you select Voice-Matched Localization, you will be required to affirmatively confirm that you have obtained all necessary speaker consents and content rights as described in Section 2. If you do not provide this confirmation, or if you decline, the Service will proceed using Standard Localization with synthesized voices only. This mode selection and any associated confirmation is a material condition of your use of the Service for each job.

3.2 Abuse Reporting and Cooperation

Addavox maintains a reporting mechanism through which any individual may inquire whether their voice has been processed through the Service without their consent. In the event Addavox receives such an inquiry or claim:

  • Addavox will cooperate with the claimant by providing information identifying the User who submitted the relevant content, to the extent permitted by applicable law.
  • You consent to the disclosure of your identity and contact information to any individual or authorized representative who presents a credible claim that their voice was processed without consent.
  • You agree to cooperate in good faith with any investigation or resolution of such claims.

3.3 Record Retention

Addavox maintains audit logs identifying which User accounts submitted content for localization, the date and time of processing, the languages involved, and which service tier (Voice-Matched or Standard) was used. These logs do not contain any voice data, voice characteristics, or biometric information. They are retained for the purpose of accountability and cooperation with rights holders.

4. Subscriptions and Payment

Certain features of the Service require a paid subscription or purchase of usage credits. By subscribing or purchasing credits, you agree to the pricing, billing intervals, included usage limits, and overage rates presented at the time of purchase. Payments are processed by Stripe; Addavox does not store your full payment card details.

Subscriptions renew automatically unless cancelled before the end of the current billing period. You may manage or cancel your subscription through the billing portal or account settings. Failure to pay applicable fees may result in suspension of paid features or account termination, subject to any grace period communicated to you.

Except where required by law, fees are non-refundable. Addavox may change pricing for future billing periods with reasonable notice. Continued use after a price change constitutes acceptance of the new pricing for subsequent periods.

5. Indemnification

5.1 User Indemnification

You agree to indemnify, defend, and hold harmless Addavox Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your breach of any representation, warranty, or obligation in this Agreement;
  • Your submission of content for which you did not have all necessary rights and consents;
  • Any claim by a third party that their voice was processed through the Service via your account without their authorization;
  • Your use of the Service output in any manner not authorized by this Agreement;
  • Your violation of any applicable law or regulation in connection with your use of the Service;
  • Actions taken by reviewers or other collaborators you invite to access your projects.

5.2 Shared Responsibility

You acknowledge that Addavox provides a localization tool and does not independently verify the consents or rights you represent to hold. You bear primary responsibility for ensuring all legal requirements are met with respect to the content you submit. Addavox’s obligations are limited to processing your content as described in Section 1, maintaining the ephemeral processing architecture, and cooperating with rights holders as described in Section 3.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADDAVOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF THE SERVICE; (C) ANY THIRD-PARTY CLAIM ARISING FROM YOUR SUBMISSION OF CONTENT WITHOUT PROPER CONSENT OR RIGHTS; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE.

ADDAVOX’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO ADDAVOX FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. Account Termination

7.1 Termination for Violation

Addavox reserves the right to suspend or terminate your account, without prior notice, if Addavox reasonably believes that you have violated any provision of this Agreement, including but not limited to submitting content without proper consent or using the Service for any prohibited purpose.

7.2 Repeat Infringer Policy

Addavox maintains a repeat infringer policy. Users who are the subject of multiple credible claims of unauthorized voice processing will have their accounts permanently terminated. This policy is adopted in accordance with applicable safe harbor provisions and is a material term of this Agreement.

8. Intellectual Property

Nothing in this Agreement transfers any intellectual property rights from you to Addavox or from Addavox to you, except for the limited license to use the Service as described herein. You retain all rights in your Submitted Content. Addavox retains all rights in the Service, its technology, and its proprietary methods. The localized output produced by the Service is a derivative work of your Submitted Content, and you are responsible for ensuring you have the right to create such derivative works.

9. Privacy and Data Handling

Addavox’s collection and use of personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference. As described in Section 1.1, ephemeral voice characteristics are processed exclusively in volatile memory and are never persisted. Addavox does not collect, store, or retain voiceprints, voice models, or biometric templates. Uploaded content, account information, consent attestations, and audit logs are handled as described in the Privacy Policy.

9.1 Cookies and Browser Storage

The Service uses strictly necessary cookies and first-party browser storage (including sessionStorage and localStorage) to authenticate you, protect sign-in security, and keep the Service working as you request (for example, staying signed in, resuming uploads, and preserving review progress). Addavox does not use analytics, advertising, retargeting, or cross-site tracking cookies on the Service.

Because only strictly necessary technologies are used, Addavox does not present a cookie consent banner. Details of each cookie and storage category, including how to clear them in your browser, are in Section 6 of the Privacy Policy. If Addavox later introduces non-essential cookies, we will update the Privacy Policy and obtain your consent where required before enabling them.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ADDAVOX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. ADDAVOX DOES NOT WARRANT THE ACCURACY OR QUALITY OF ANY LOCALIZED OUTPUT, INCLUDING OUTPUT PRODUCED OR SUGGESTED BY AI-ASSISTED EDITING FEATURES.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws provisions. Any dispute arising out of or in connection with this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association in Salt Lake City, Utah, in accordance with its Commercial Arbitration Rules. The arbitrator’s decision shall be final and binding, and judgment may be entered upon it in any court having jurisdiction.

12. Modifications

Addavox reserves the right to modify this Agreement at any time by posting the revised terms on our website and notifying you via email or through the Service. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified terms. If you do not agree to the modified terms, you must stop using the Service.

13. Severability

If any provision of this Agreement is held to be unenforceable or invalid, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.

14. Entire Agreement

This Agreement, together with the Privacy Policy and any additional terms presented at the time of specific transactions (including subscription and payment terms), constitutes the entire agreement between you and Addavox with respect to the Service and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
